General Board of Directors Responsibilities

Determine major personnel, fiscal and program policies.
Establish, with the help of staff, the goals of the program.
Plan and participate in annual fundraising events.
Participate in Annual Event/Campaign.
Approve proposals for program funding.
Assure compliance with conditions of funding sources.
Determine program strategy and program evaluation.
Hire, superise and fire (if necessary) program director.
Provide for adequate facilities, staff and equipment for agency operations.
Attend a minimum of 4 of 6 board meetings annually without missing two consecutive meetings.
Serve a three-year term unless otherwise specified.
Serve on one or more committees of the board.

Board members are:

  • Well connected in their community
  • Those who believe in the mission and work of organization
  • Willing to raise funds to support the program
  • Willing to partner with staff and the community to continually evaluate and improve the quality of organizations services

BOARD FUNCTIONS

Plan

  • Create and maintain a mission statement and long-range strategic plan supporting the mission statement
  • Approve the monitor short-term plans

Organize

  • Articles of incorporation
  • By-laws
  • Recruitment program for new members
  • Regular officer elections
  • Establish committees and appointment of members
  • Establish regular meeting times and agenda for both the board and its committees
  • Establish flow of board business
  • Establish place of board business

Staff

  • Select the executive director
  • Advise on other staff appointments
  • Supervise executive director

Direct

  • Conduct board meetings
  • Conduct committee work, originate and support board programs, accomplish board programs
  • Provide financial support

Control

  • Establish and maintain fiscal controls
  • Establish and maintain performance review of the executive director
  • Establish and maintain a monitor of organization effectiveness
  • Report annually to the organization's consistency
